Certainty of Terms Definition:

A legal requirement of a valid offer to contract; that it must be precise and definite in order to be subject to acceptance.

In Chitty on Contracts, the authors note that "the courts do not expect commercial documents to be drafted with strict legal precision."

But under the caption "certainty of terms" the treatise cautions that:

"An agreement may lack contractual force because it is so vague or uncertain that no definite meaning can be given to it without adding further terms."

Although not an exhaustive list as much depends on the nature of the contract, standard terms of an offer would include the subject matterĀ of the proposed contract, a proposed price, a time of performance and a quantity.
